Genoa – Bper Banca announces that it has received from the European Central Bank the authorization for the acquisition of a direct controlling interest in Banca Carige and, indirectly, in its subsidiaries Banca Monte di Lucca and Banca Cesare Ponti.
The authorization follows the presentation by Bper Banca of the related application, following the signing – on February 14, 2022 – of the contract for the acquisition of the equity investment of approximately 80% of the ordinary share capital of Carige held by the Interbank Deposit Protection Fund (Fitd) and the voluntary intervention scheme, already communicated to the market on February 14th.
Once all the conditions precedent set out in the contract have been met, it will be possible to proceed with the closing of the transaction, through the transfer of the Carige shareholding held by the selling shareholders in favor of Bper Banca, for the consideration of 1 euro and upon payment by the Fitd in the capital account, in favor of Carige of a contribution of 530 million. The closing, as reported in a note, is expected to be completed within the first ten days of June, which will allow Bper Banca to benefit from the conversion of Carige’s Deferred Tax Assets into tax credits.
The acquisition of the controlling stake in Carige by Bper Banca for the latter, it will entail the obligation to promote, in the manner and within the time limits established by current legislation, a full takeover bid on the Carige shares not held by Bper Banca. As already announced to the market, the takeover bid will be launched at a price of € 0.80 for each ordinary share. “The strong strategic and industrial value of the operation is confirmed – concludes the press release – which will allow the Bper group, by enhancing the resources of Carige, to grow in areas currently limited by value for its stakeholders “.
